Terms of Use

These Terms of Use ("Terms") apply to www.lacunaindex.com and the Lacuna Index platform (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

We may amend these Terms at any time. Material changes will be communicated by email to active subscribers. Your continued use after changes take effect constitutes acceptance.

Lacuna provides forensic-financial research. It is not investment advice, brokerage, accounting, legal, or tax advice. Reports and scores are research opinions based on publicly available information and AI-assisted analysis. They do not constitute a recommendation to buy, sell, or hold any security.

You are solely responsible for your investment decisions. Consult a licensed advisor before acting on any information presented through the Service.

You must be at least 18 years old and able to form a binding contract to use the Service. You agree to provide accurate registration information and to keep it current. You are responsible for all activity that occurs under your account and must keep your credentials confidential.

Paid tiers grant access to additional reports, sector intelligence, and Weekly Briefs as described on the Pricing page. Billing is processed by our payment provider on a recurring basis until you cancel. You may cancel at any time from your Subscriber Profile; cancellation takes effect at the end of the current billing period.

You may use the Service for your own internal research purposes. You agree NOT to:

• Resell, redistribute, or publicly republish reports without written permission.
• Use any "deep-link", "page-scrape", "robot", "spider", or other automated means to access the Service except as authorized through documented APIs.
• Attempt to gain unauthorized access to any portion of the Service.
• Probe, scan, or test the vulnerability of the Service or any underlying network.
• Reverse-engineer, decompile, or disassemble any part of the Service.
• Take any action that imposes an unreasonable load on our infrastructure.
• Use the Service to violate any applicable law or regulation.

The Service and all content (other than third-party material clearly identified as such) are the property of Lacuna or its licensors and are protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for the purposes permitted above. No other rights are granted.

The Service incorporates information from public filings (e.g., SEC EDGAR) and other publicly available sources. We do not warrant the completeness or accuracy of third-party information and disclaim all liability arising from it.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND FREEDOM FROM COMPUTER VIRUSES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LACUNA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE FEES YOU PAID FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold Lacuna harmless from any claims, losses, costs, and expenses (including reasonable attorneys' fees) arising out of your breach of these Terms or your misuse of the Service.

We may suspend or terminate your access to the Service at any time for breach of these Terms, suspected fraud, or to protect the integrity of the Service. You may terminate by cancelling your subscription and requesting account deletion from your Subscriber Profile.

Your use of the Service is also governed by our Privacy Statement.

These Terms are governed by the laws of the State of New York, USA, without regard to conflict-of-law principles. Any dispute arising out of these Terms will be resolved exclusively in the state or federal courts located in New York County, New York.

If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.
